Partner Programme Agreement

How referrals are tracked, what is paid, and when.

Overview

This Agreement governs the Zugo partner programme. It applies to you if we have opened a partner account for you, whether you promote Zugo as a media buyer, a content creator, or in any other capacity. By using a tracking link or a promo code we issued to you, you accept these terms.

1. Who you are to us

You act as an independent contractor. This Agreement does not create employment, partnership, joint venture, or agency between you and [TO BE COMPLETED: registered company name]. You may not sign anything, incur any obligation, or make any statement on our behalf. You are responsible for your own taxes, filings, and any registration your country requires of you.

2. How a referral is attributed

Attribution is FIRST TOUCH. The link or code that first brought a person is the one credited, even if the same person later arrives through someone else. An attribution is written once and is never rewritten. A click is remembered for 90 days: if the person signs up within that window, the referral is yours; after it, the click expires. A promo code attributes at the moment it is applied, with no click required.

3. What you are paid, and on what base

Your rate, the rate on subsequent payments, and the calculation base are set individually for your account and are visible to you in your cabinet at any time. Commission is calculated on the amount the payment processor actually charged the customer, after any discount your own code gave them, and never on list price. If your terms say the base is net, the deductions named in your cabinet (tax, processing fees, and any other stated deduction) are subtracted before your percentage is applied. Renewals and repeat purchases pay on the same basis as the first payment unless your cabinet states a different rate for them.

4. When commission is reversed

A refund or a chargeback takes back the commission booked on that payment, in proportion to the amount returned. The reversal is recorded as its own entry: nothing is ever quietly deleted from your history, and your balance moves by exactly the amount reversed. If your account is paused, no new commission accrues while it is paused; everything already owed to you is unaffected.

5. Payouts

Your balance is what has been accrued, minus what has been reversed, minus what has already been paid out. It is visible in your cabinet and updates as events happen. Payouts are made on request once the balance is positive, by the method we agree with you, and are recorded in the same ledger. We may hold a payout while a payment that produced it is still within the dispute window, or while we are investigating a suspected breach of this Agreement.

6. Promo codes

Codes are issued inside an offer, and the offer sets the ceiling: the discount, how many times a code may be redeemed, and how long it may live. You choose the word, within those limits. A code that stops working at checkout is marked in your cabinet: stop sending traffic to it and tell us, and we will reissue it. Codes may not be posted to coupon-aggregator or discount-listing sites without our written permission.

7. How you may not promote

You may not: bid on our brand name or misspellings of it in paid search; use domains, handles, or app names that could be mistaken for ours; send unsolicited bulk email or messages; use pop-unders, forced clicks, cookie stuffing, or any method that writes an attribution without a real, intentional visit; refer yourself or accounts you control; promise results, prices, or capabilities we do not offer; or place our brand next to adult, hateful, or illegal content. Traffic obtained in any of these ways earns nothing, and commission already booked on it may be reversed.

8. What you may say about us

You may describe Zugo accurately and use our name in ordinary text. Do not alter our logo, imply that we endorse or employ you, or claim an exclusive or official status you do not have. If you state prices, plan limits, or build times, take them from our public pages so they stay correct when we change them.

9. Your customers' data

You never receive personal data about the people you refer. Your cabinet shows counts and sums only: no names, no email addresses, no identifiers. If you collect data from your own audience, that is yours to handle lawfully, and this Agreement gives you no rights over ours.

10. Suspension and termination

Either side may end this Agreement at any time, in writing, without cause. We may suspend an account immediately if we reasonably suspect fraud or a breach of section 7, and we will tell you why. Suspension stops new commission from accruing; it does not delete your history or cancel a balance that was lawfully earned. On termination, we pay what is owed to you for referrals attributed before the end date, subject to the same reversal and dispute rules.

11. Changes to this Agreement and to your terms

We may change this Agreement, and we will change the date at the top when we do. Your individual commission terms may also change: a change applies to payments made after it is saved, and anything already accrued keeps the terms it was accrued under. Continuing to promote Zugo after a change means you accept it.

12. Liability

We provide the programme as it is. We are not liable to you for lost profits or expected earnings, including advertising spend you chose to make. Nothing in this section limits liability that cannot be limited by law, and nothing in it relieves us of paying a balance you have properly earned.

13. Governing law & contact

This Agreement is governed by the laws of Delaware, United States, without regard to conflict-of-laws rules. Notices may be sent by post to [TO BE COMPLETED: registered company name], [TO BE COMPLETED: registered postal address], and questions to support@zugo.dev.

Language

This document is published in English and in Russian. The English version is the controlling version: if the two differ in meaning, the English text governs. The Russian translation is provided so you can read what you are agreeing to, and we will correct any translation error you report to support@zugo.dev.
